These Terms of Service (“Terms”) constitute a binding legal agreement that governs the relationship between Waanee AI Private Limited (“ENTITY”) having its registered office at Mumbai (“Waanee.ai”, ”us”, “we”, or “our”) which provides the Waanee.ai application along with associated content, services, and websites (collectively “Waanee.ai”, “application”) and individuals who download, install, or use the application, content, and services (“you”, “your”).
Please read them carefully before deciding to download, install, or use Waanee.ai.
We may review, amend, or replace these Terms from time-to-time without notice. Therefore, you should periodically revisit this page and review the latest version of this document. The most recent date of revision is listed at the top of this document under “Last Revised”. Continuing to use Waanee.ai after these Terms have been modified or replaced also signifies your acceptance.
Scope and Acceptance
• Your access to and use of Waanee.ai is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users and others who download, install, or use Waanee.ai on any device.
• By installing or using Zanskar on any device, you consent to be bound by these Terms in full, and without reservation.
• If you disagree with or are not willing to comply with any of these Terms, you may not download, install or use Waanee.ai. If you have already done so, you are required to discontinue use and fully remove the application from all your device(s).
Intellectual Property
1. hereby grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use Waanee.ai. This license is granted with the sole purpose of enabling you to use Waanee.ai in the manner permitted by these Terms.
2. You acknowledge that we own all right, title and interest in Waanee.ai (including all associated services, content, and websites). “Waanee.ai” is the trademark of Waanee AI Private Limited. You may not alter, destroy, obscure, or otherwise remove or modify any copyright or proprietary notices or labels contained within Waanee.ai.
Terms of Use
i. ChargesYou acknowledge and agree that you are solely responsible for any charges or costs incurred as a result of downloading and using Waanee.ai, including any operator network and roaming charges that may be incurred for calling, SMS, or data usage. Please check with your service provider for tariff and charging details.
ii. Eligibility You must be at least 18 years old in order to use Waanee.ai. At the time of account creation, you are required to provide accurate, complete, and current information about yourself.
iii. Authority to Provide Information. In order to provide certain features or functionality, Waanee.ai may require you to provide personal or other information relating to other individuals (“third party information”).
a. In relation to third party information, you are required to ensure that you obtain informed consent before providing to us such information. This consent must have been obtained after explaining to the concerned third party individual the information being collected, purpose of collection, persons or authorities to whom such information may be disclosed, and the option to decline to provide such information.
b. By providing third party information to Waanee.ai, you warrant and represent that you have obtained consent as described above.
c. By providing third party information to Waanee.ai for onward disclosure to other third parties including to relevant regulatory, or law enforcement authorities, you expressly agree that you shall be solely responsible for the consequences of such submission including in relation to accuracy, verifiability, and completeness of such information.
d. You agree to indemnify and hold harmless from any damages, claims, demands, proceedings, losses, costs, charges and expenses whatsoever including court and legal fees that we may incur, arising in relation to, or as a consequence of your failure to obtain the requisite consent required by these Terms.
iv. Terms of Provision of Waanee.ai By downloading, installing, or continuing to use Waanee.ai, you expressly acknowledge and agree to the following:
a. To the fullest extent permissible under applicable law, and Waanee.ai, including its officers, directors, employees, and contractors disclaim all warranties, statutory, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. No communication between you and will create any warranty or obligation not expressly stated in these Terms.
b. We expressly reserve and retain the right to discontinue offering of Waanee.ai or any feature, facility, or portion of Waanee.ai without notice to you.
c. We expressly reserve the right to offer the Waanee.ai application and associated services on a payment or subscription basis. Continued access to or use of Waanee.ai and associated services for existing users may be made contingent on payment of the applicable subscription fees.
d. Waanee.ai (including the application and associated services, content, and websites) is offered to you on an “as is”, “with all faults” basis and without warranties or representations of any kind. We do not warrant, in any form, that Waanee.ai will be error-free or will provide stable or uninterrupted service. We also do not warrant accuracy, completeness, or timeliness of any information or instructions stored, handled, aggregated, provided, transmitted by Waanee.ai or any third party service offered through or facilitated by Waanee.ai. Where information concerns a third party service provider, you are required to independently verify the accuracy and completeness of the same through resort to the third party directly.
e. By downloading, installing, or using Waanee.ai, you expressly agree that you do so at your sole risk and that you will solely be responsible for any damage, delay, or loss that may result from such download, installation, or use. This includes software or hardware damage to mobile and computer devices, deletion/loss of data, corruption of data, delays or inaccuracies in completion of transactions, transmissions or receipt of information, or damage or loss in any other form. In no event is liable for incidental, consequential or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, privacy breaches, and the like) arising out of the use of or inability to use Waanee.ai.
f. We shall also not be liable for the accuracy of content on any advertisement, or any other information, data or content provided, transmitted by a third party service provider or another user.
v. Use of Third Party ServicesIn order to provide certain features and functionality (such as payments), Waanee.ai partners with or makes use of third party service providers including, but not limited to, payment gateways, payment aggregators, payment portals, mobile wallets, e-commerce portals, banks, job search engines, intermediaries, and financial service providers. In this regard, you agree and acknowledge that:
a. This document and these Terms only apply to govern your relationship with in relation to your use of Waanee.ai. They do not apply to your use of third party services, applications, or websites such as those of the categories described above. Your relationship with third party service providers is governed by the relevant Terms or Agreement that you enter into with them.
b. You are solely responsible to ensure that you consent to, and comply with the terms, policies, and practices of these third parties. Where there arises any conflict between these Terms and the terms of a third party, in relation to use of that third party’s services, the terms and policies of that third party shall prevail. It is solely your responsibility to ensure that you are familiar with the contents of the terms, policies, and other documentation of these entities.
vi. Liability for use of Third Party ServicesYou acknowledge that Waanee.ai is a platform provider which provides certain features and functionality through third party service providers including, but not limited to, banks, payment gateways, payment aggregators, mobile and e-wallets, and other intermediaries. In this regard, you expressly acknowledge and agree that:
a. Waanee.ai is not liable for any content or services provided by these third parties. You expressly agree that use of these third party services is at your sole risk and that it is your sole responsibility to evaluate these services including with respect to their reliability, safety, security, suitability, and integrity. You also expressly agree that you will be solely responsible for any charges, costs, or expenses arising from your use of these services without regard to whether these services were provided through or facilitated by Waanee.ai.
b. By using third party services facilitated by or offered through Waanee.ai, you expressly agree that you do so at your sole risk and that you will solely be responsible for any damage, delay, or loss that may result from such use. This includes software or hardware damage to mobile and computer devices, deletion/loss of data, corruption of data, delays or inaccuracies in completion of transactions, transmissions or receipt of information, or damage or loss in any other form. In no event is liable for incidental, consequential or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, privacy breaches, and the like) arising out of the use of or inability to use such third party services
vii. Prohibited Conduct: You acknowledge and agree that the following conduct is prohibited on or in relation to your use of Waanee.ai and entitles us to take resort to all available remedies including account and service termination, and remedies under civil and criminal law. In this regard, you expressly agree that Waanee.ai shall have sole discretion to determine whether any activity, use, or conduct is to be considered prohibited and to determine the appropriate course of action or remedy.
a. Use for any non-personal or commercial purpose.
b. Providing inaccurate, incomplete, or outdated information at the time of account creation.
c. Facilitating use of your account by an authorized or unauthorized third party including person who is under the age of 18;
d. Use for any unlawful, illegal, fraudulent, immoral, or unauthorized purpose;
e. Use for any transaction or purchase considered illegal, or unlawful under applicable law.
f. Transmission of messages, or content, that is defamatory, pornographic, malicious, annoying, or of the nature of spam.
g. Unauthorised transmission of the personal or private information of a third party individual or entity.
h. Use that violates or is inconsistent with these Terms or any other regulation, law, or court order that may be in effect;
i. Any activity or attempt that seeks to reverse-engineer, disassemble or otherwise attempt to extract, use, or modify the source code of Waanee.ai or any part thereof
j. Any activity or attempt that leads to the infringement of intellectual property rights of or of a third party individual or entity.
k. Any activity or attempt that seeks to use the Waanee.ai application or associated services, or third party services, in any manner that could damage, disable, overburden, or impair it, including, but not limited to, use of the application or services in an automated manner; and
l. Any other conduct, activity, or behaviour that we may, in our sole discretion, determine to be harmful, misleading, dangerous, or misuse.
viii. Refunds & Cancellations: Where we have charged you for the provision of any functionality, feature, or service in relation to Waanee.ai, you will not be entitled to a refund except in accordance with the procedure below:
a. When requesting a cancellation of service or refund, you are required to contact our designated customer service over the phone or email. Requests made to any other employee, officer, or to our general address will not be entertained.
b. We operate on a monthly billing and cancellation cycle. Therefore, we will only refund you the payments made for whole months remaining on your subscription [Illustration: if you purchased a 3 month subscription covering January – March 2023 and seek a refund on 15th February, you will only receive a refund for the payments made in relation to the month of March 2023 on a prorated basis; if a refund request is made on 1st March 2023, no amount will be refunded].
c. While making a refund, we may deduct applicable statutory levies and taxes as may be applicable.
d. Refunds will be made within a period of 30 days from the date of request. You are required to specify all relevant details for remittance of the refund amount at the time of making the cancellation or refund request.
e. In cases of document verification, if an OTP or a verification code is not issued by the verifying agency, then a refund process will be initiated within 7 days of failure of the transaction.
ix. Termination You expressly acknowledge that we shall have sole discretion to terminate your account, or services provided to you without notice, explanation, or cause. You also acknowledge and waive any right to receive reasons for such termination.
Disputes and Governing Law
These Terms shall be construed under, and governed by the laws of India. You consent to the jurisdiction (including personal jurisdiction) of courts in India. You further agree that all disputes arising in relation to or under these Terms are subject to the exclusive jurisdiction of courts (or consumer fora, as applicable) in Mumbai, regardless of the concurrent jurisdiction of any other court, tribunal or fora. Venue shall be proper in Mumbai and you hereby irrevocably waive any objection to the same.
Force Majeure
You agree and acknowledge that:
a. We are not liable for any failure to perform any aspect of these Terms on account of an event that is beyond our party including, but not limited to, natural disasters or calamities (acts of god), terrorism, cyber-attack, war, civil unrest, or any other natural or manmade occurrence which could not have been reasonably foreseen.
b. If we are affected by such an event or occurrence, we shall take reasonable steps to inform you of the same.
Severability
If, for any reason, a court of competent jurisdiction finds any part of these Terms to be invalid, illegal or unenforceable, that part shall be enforceable to the maximum extent permissible to give effect to the intent of the parties, and the remainder of these Terms shall continue in full force and effect.
